Abstract：
Based on the achievement and experience in terms of the national economic layout and structure adjustment, the paper makes an analysis of the tangible issues in the national economic layout and structure adjustment as well the in-depth reasons constraining adjustment, and raises the following policy suggestions: first, to overcome difficulties in reaching common views on national economic layout; second, to formulate necessary guiding policies and standardize the reforms of local small and medium-sized enterprises; third, to make continuous reform on the management system of state assets and establish effective institutions of promoters' representatives; fourth, to standardize and perfect capital market and fully display the function of capital market in the national economic layout and structure adjustment; and fifth, to further consummate legal environment and bring the economic layout and structure adjustment onto the orbit of legalization.
